Terms and Conditions

These Terms and Conditions (“T&C”) govern the use of services provided by SHCH Digitech India Pvt. Ltd. (hereinafter referred to as “the Company”, “We”, “Us”, or “Our”), having its registered office at 3rd Floor, Vardhman South Plaza, Pocket H, Sarita Vihar, New Delhi 110076, India.

These T&C apply to (i) “You”, “Your”, or “User”; and (ii) “End-User” (collectively referred to as “they”, “them”, or “their”) who access or avail the Services offered through Our “Website”, “Profo”, or “Platform” (collectively referring to the website https://profo.app
, its linked pages, or application services, including mobile applications or mobile-site versions).

This document is an electronic record under the Indian Contract Act, 1872 and the Information Technology Act, 2000, along with applicable rules and regulations, and does not require any physical or digital signature.

By accessing or using the Platform, You signify that You have read, understood, and agree to be legally bound by these T&C and related policies.
Your use of the Services constitutes acceptance of these T&C from the time of usage.
SHCH Digitech India Pvt. Ltd. reserves the right to modify or update these T&C or the Services at any time without prior notice. Continued use of the Platform after updates constitutes Your acceptance of the revised terms.

If You disagree with any provision, please discontinue use of the Platform immediately.
By providing Your contact details, You consent to be contacted by Us or Our authorized representatives through phone, email, or other means.

Profo operates as a creator-support and monetization software platform and is not an educational institution, marketplace, or employer. Users are independent creators or businesses, not employees or agents of the Company.

Definitions

Applicable Law: All Indian laws, regulations, notifications, and judicial interpretations applicable to the use of the Platform.

Authority: Includes the Government of India, state governments, or any statutory, judicial, or regulatory authority.

Confidential Information: All information disclosed or acquired during use of the Platform, including names, business models, financial data, pricing, and client details, except information already public or disclosed by lawful means.

Content: Any software, data, video, text, images, courses, or other material uploaded, created, or shared via Your Account on Profo.

End-User: Any person accessing a Creator’s content or landing page hosted on the Platform.

Landing Page: A custom page created through Profo’s builder where creators showcase and sell content, courses, or digital assets.

Platform Fee: Charges payable for using Profo’s platform to host or distribute Your content.

Service Fee: Subscription or usage-based charges for accessing Profo’s tools and services.

Services: All digital tools, SaaS features, and functionalities provided through Profo, as described herein.

Eligibility

You must be at least 18 years old to use Profo. If You represent a company or business, You confirm that You are authorized to bind that entity to these T&C.
Individuals incompetent to contract under the Indian Contract Act, 1872 are not eligible to use the Platform.

Services and User Guidelines

Profo provides a Software-as-a-Service (SaaS) platform that enables creators to:

– Build, design, and publish landing pages.

– Upload and sell digital content, courses, or subscriptions.

– Use integrated AI tools for text generation, analytics, and optimization.

– Manage affiliates and commissions through the Profo affiliate engine.

– Communicate with End-Users through integrated third-party channels (e.g., WhatsApp, Telegram).

Services are provided on an “as is” and “as available” basis.
Profo is not responsible for downtime caused by:

– Force majeure events,

– Issues with hosting or third-party providers,

– User misconfiguration or inaction,

– Planned maintenance.

Account Creation

To access most features, You must create an Account with accurate and updated information. You are responsible for maintaining the confidentiality of Your credentials.

You agree not to use deceptive or infringing usernames or URLs.
SHCH Digitech India Pvt. Ltd. reserves the right to suspend or terminate Accounts violating these T&C or Applicable Laws.

Creators are solely responsible for their landing pages, pricing, and interactions with customers. The Company shall not be liable for disputes arising between Users and End-Users.

Payments

– Product Price: You may set or modify product prices at Your discretion.

– Service Fees: Profo charges service and platform fees as mentioned on the pricing page.

– Collections: Payments from End-Users are collected by Profo on behalf of Creators, net of applicable fees and taxes.

– Refunds: In case of policy violation or chargeback, You agree that the full purchase amount may be refunded to the End-User.

All payouts are made in INR (Indian Rupees) unless stated otherwise, subject to applicable tax deductions.

Warranties

You represent and warrant that:

1. You own or have necessary licenses for Your content.

2. You will not impersonate or misrepresent Your qualifications.

3. Your content does not infringe intellectual property, contain unlawful material, or violate Applicable Law.

4. You grant Profo a limited, non-exclusive license to use and host Your content for providing the Services.

Profo provides no warranty that Services will be uninterrupted, timely, secure, or error-free.

Indemnification

You agree to indemnify and hold harmless SHCH Digitech India Pvt. Ltd., its directors, employees, and affiliates from any claims, losses, or damages arising out of:

– Your misuse of the Platform,

– Violation of these T&C, or

– Infringement of third-party rights.

Intellectual Property Rights

All design elements, code, and trademarks on the Platform are owned by SHCH Digitech India Pvt. Ltd. or its partners.
Users retain ownership of their own content but grant the Company a royalty-free license to display, store, and distribute it for Service delivery.

Unauthorized reproduction or redistribution of any Platform content is strictly prohibited.

Limitation of Liability

SHCH Digitech India Pvt. Ltd. shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the Services.
Total liability, if any, shall not exceed the amount of Service Fees paid by the User to the Company in the 12 months preceding the claim.

Disclaimer

The Platform and all Services are provided “as is.” The Company makes no warranties regarding accuracy, completeness, or reliability of materials or information.
Users are responsible for compliance with Applicable Laws when publishing or selling content.

Confidentiality

Both Parties agree to maintain confidentiality of proprietary information exchanged during the term of engagement.
These obligations shall survive for 12 months following termination of these T&C.

Changes to Terms

SHCH Digitech India Pvt. Ltd. may modify these T&C or Service features at any time.
Notice of major changes may be provided via email or Platform updates. Continued use constitutes acceptance of modified terms.

Termination

Either Party may terminate these T&C by closing the Account.
Upon termination, all rights granted herein shall cease, and You must discontinue use of the Platform.
Outstanding obligations and accrued payments shall survive termination.

Governing Law and Jurisdiction

These T&C are governed by the laws of India.
All disputes shall be subject to the exclusive jurisdiction of courts in New Delhi, India.

Force Majeure

SHCH Digitech India Pvt. Ltd. shall not be held liable for delays or failures caused by events beyond its control, including natural disasters, cyberattacks, strikes, or government actions.
